1. Acceptance of Terms

By accessing or using SalePlay ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms constitute a legally binding agreement between you and SalePlay regarding your use of the Service.

2. Description of Service

SalePlay provides an AI-powered sales roleplay and training platform designed to help sales professionals practice and improve their skills. The Service includes AI-driven scenarios, feedback mechanisms, and analytics. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. You agree that SalePlay shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. AI Personalization and Data Usage

By using SalePlay, you explicitly acknowledge and agree that specific data generated during your use of the Service, including but not limited to voice recordings, roleplay transcripts, and performance metrics ("User Data"), will be processed by our Artificial Intelligence algorithms. This processing is strictly for the purpose of:

  • Generating personalized coaching feedback and actionable insights.
  • Creating adaptive training scenarios tailored to your skill gaps.
  • Improving the accuracy and relevance of the AI models used in the Service.

We do not sell your personal roleplay content to third parties for advertising purposes.

4. User Accounts

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Payment and Subscriptions

**Subscriptions:** Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you select.

**Payment Processing:** All payments are processed securely through Razorpay, our third-party payment gateway. SalePlay does not directly store your credit card or banking information. By making a purchase, you agree to Razorpay's terms and conditions and privacy policy.

**Refunds:** Generally, all charges for purchases are non-refundable, and there are no refunds or credits for partially used periods. We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.

6. Intellectual Property Rights

**Service Content:** The Service and its original content (excluding User Content provided by you), features, and functionality are and will remain the exclusive property of SalePlay and its licensors. The Service is protected by copyright, trademark, and other laws.

**User Content:** You retain any copyright and other proprietary rights that you may hold in the User Content that you post. By providing User Content to the Service, you grant SalePlay a worldwide, non-exclusive, royalty-free, fully paid right and license to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or later developed, strictly for the purpose of providing and improving the Service as described in Section 3.

7. Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate SalePlay, a SalePlay employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm SalePlay or users of the Service or expose them to liability.

8. Limitation of Liability

In no event shall SalePlay, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
